These Terms of Service (“Terms”) govern the provision of services by Innovate Local Ltd (“Innovate Local”, “we”, “us”, or “our”) to you (“Client”, “you”, or “your”). By engaging our services, booking a call, or making a payment, you agree to be bound by these Terms.
1. About Innovate Local
Innovate Local Ltd is a marketing and lead generation service specialising in Facebook and Instagram advertising for home improvement businesses based in the UK & Ireland.
We provide advertising strategy, campaign setup, optimisation, and supporting systems designed to generate enquiries (“leads”). We do not guarantee sales, revenue, or business success.
2. Scope of Services
Innovate Local may provide, depending on your selected service:
Paid advertising campaign setup and management
Creative strategy and ad copy
Lead capture systems and integrations
Campaign optimisation and reporting
Strategic guidance relating to lead conversion
Exact deliverables may vary depending on your package or agreement and may change over time as campaigns are optimised.
3. No Long-Term Contracts
Innovate Local does not lock clients into long-term contracts.
Our services operate on a rolling basis, subject to the cancellation policy outlined in Section 6.
You are free to cancel at any time, provided you adhere to the required notice period.
4. Client Responsibilities
To ensure effective service delivery, you agree to:
Provide accurate business information, service areas, and contact details
Respond to leads in a timely and professional manner as recommended
Maintain appropriate insurance, licences, and legal compliance for your services
Act professionally when dealing with leads generated through our systems
Innovate Local is not responsible for missed opportunities caused by delayed responses, poor follow-up, or unprofessional conduct.
5. Advertising Spend & Third-Party Platforms
5.1 Ad Spend
Advertising spend is separate from Innovate Local’s management fees unless explicitly stated otherwise.
Ad spend is paid directly to advertising platforms (e.g. Facebook / Meta) and is not controlled or refunded by Innovate Local.
5.2 Third-Party Services
We use third-party platforms and tools, including but not limited to:
Advertising platforms (e.g. Meta/Facebook, Instagram)
Payment processors (e.g. Stripe)
CRM, automation, and analytics tools
Innovate Local is not responsible for outages, errors, policy changes, or restrictions imposed by third-party providers.
6. Cancellation Policy (7-Day Notice)
You may cancel your service at any time by providing a minimum of 7 days’ written notice.
This notice period is required to allow sufficient time to:
Safely pause and shut down active advertising campaigns
Cancel or adjust third-party subscriptions
Process changes through our payment processor (Stripe)
Account for short business closure periods such as holidays (we are never unavailable for longer than 4–5 days)
Important Notes:
Cancellation requests must be made in writing via email or whatsapp.
Services and billing will continue during the 7-day notice period.
No partial refunds are provided for time already served.
7. Payments & Billing
Payments are processed via Stripe or another approved payment processor
Fees are billed in advance unless otherwise agreed
Failure to make payment may result in paused services
All fees are exclusive of VAT unless stated otherwise.
8. Refund Policy
Innovate Local does not offer refunds for services already delivered, advertising time used, or work completed.
Marketing and advertising results can vary, and you acknowledge that payment is for time, expertise, and service delivery, not guaranteed outcomes.
9. Area Exclusivity
Where offered, area exclusivity is subject to availability and internal capacity.
Innovate Local reserves the right to determine exclusivity boundaries and may modify them if required for operational or strategic reasons.
10. Intellectual Property
All materials created by Innovate Local, including images, videos, ad copy, strategies, frameworks, and systems, remain our intellectual property unless otherwise agreed.
You may not reproduce, resell, or distribute proprietary materials without written permission.
11. Confidentiality
Both parties agree to keep confidential information private, including business data, strategies, pricing, and internal processes, unless disclosure is required by law.
12. Limitation of Liability
To the fullest extent permitted by law:
Innovate Local shall not be liable for indirect, incidental, or consequential losses
Our total liability shall not exceed the amount paid by you in the preceding 30 days
This includes, but is not limited to, loss of revenue, missed opportunities, or business interruption.
13. Termination by Innovate Local
We reserve the right to terminate or suspend services immediately if:
Payments are not made
You breach these Terms
You engage in abusive, unethical, or illegal conduct
Continued service would expose Innovate Local to reputational or legal risk
14. Changes to These Terms
Innovate Local may update these Terms from time to time.
The most current version will always be available on our website.
Continued use of our services constitutes acceptance of any updated Terms.
15. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
